Terms of Service

Quick summary

Before the legal language, here's what this document says in plain English:

  • ToolBody offers free browser-based tools for making stamps, invoices, quotations, payslips, signatures and QR codes. By using the site, you agree to these terms.

  • You keep ownership of anything you design. We claim no rights over your creations, and we don't store them.

  • The tools are provided "as is" — useful and reliable in ordinary use, but without warranties. Use them at your own risk.

  • Don't use ToolBody to do illegal or harmful things. Forging government or notary seals, creating fake invoices for fraud, and impersonating real people or businesses are all prohibited.

  • We can change or stop the Service. We'll give reasonable notice where we can.

  • If you believe something on ToolBody uses your business's name, mark or details without permission, tell us and we'll review it.

  • Disputes are governed by the laws of the United Arab Emirates and heard in the competent UAE courts.

1. Agreement to these terms

These Terms of Service ("Terms") form a legal agreement between you and ToolBody ("ToolBody", "we", "us", or "our") regarding your use of the website at https://toolbody.cloud and the tools provided on it (together, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you don't agree, please don't use the Service.

If you're using the Service on behalf of a business or organisation, you confirm that you have authority to bind that organisation to these Terms.

2. What the Service is

ToolBody is a collection of free, browser-based tools for creating business document elements. As of the Last Updated date above, the Service includes:

  • Stamp Maker — for designing stamps, company seals and approval marks

  • Invoice Maker — for creating invoices and exporting them as PDFs

  • Quotation Maker — for creating quotations and estimates and exporting them as PDFs

  • Payslip Generator — for producing payslip documents from figures you enter

  • Signature Maker — for creating transparent-background signature images

  • QR Code Generator — for generating QR codes, including WiFi, vCard, link and messaging codes

  • Template library — pre-built designs that can be customised in the tools above

We may add, modify or remove tools and features at any time, and we're not obliged to keep any specific feature available indefinitely. Where a change is significant, we'll generally try to give reasonable advance notice on the site.

The Service is provided free of charge. We don't take payment for using any tool or for downloading any output, and we don't watermark what you download.

3. What the Service is not

To set expectations clearly:

  • Not a legal e-signature platform. Signature images created on ToolBody are not certified digital signatures and carry no cryptographic authentication. Their legal effect depends on the jurisdiction, the type of document and what the parties have agreed. For high-stakes contracts, use a regulated e-signature provider.

  • Not an accounting, payroll or tax service. The Invoice Maker, Quotation Maker and Payslip Generator produce documents from the figures you enter. They don't track payments, calculate what you owe, apply statutory deductions, file returns, or check that a document meets the payroll or tax requirements of any jurisdiction. Confirming that a payslip or invoice is compliant where you operate is your responsibility. For accounting, payroll and tax matters, consult a qualified professional.

  • Not legal advice. Nothing on ToolBody — in the tools, the templates, the FAQs, the blog or anywhere else — is legal advice. We provide design tools and general guidance; specific legal questions need a lawyer.

  • Not a notary or official authority. ToolBody does not certify, notarise, witness or authenticate any document. Notary seals, court seals and government-agency seals are regulated instruments, and the Service must not be used to produce them. See Section 7.

  • Not a print shop. ToolBody produces digital files. A physical rubber stamp must be manufactured separately by a stamp maker, using the file you download.

  • Not a data store. We don't save your designs, and we can't recover a file you've lost. Download and keep your own copy.

4. Eligibility

You must be at least 16 years old to use the Service. If you're between 16 and 18, you should use the Service only with the involvement of a parent or guardian.

If the minimum age for online services in your jurisdiction is higher than 16, that higher age applies to you.

5. Accounts

ToolBody does not require an account. There's no username, no password and no sign-up, and none of the tools are gated behind registration.

If we introduce optional account-based features in future, we'll update these Terms to cover how accounts work before those features go live.

6. Your designs and outputs

This section is one of the most important — please read it carefully.

  • You own what you create. Any stamp, invoice, quotation, payslip, signature, QR code or other output you design and download from ToolBody belongs to you. We claim no ownership, copyright or other rights in it, and we place no restriction on using it commercially.

  • You are responsible for what you create. If a design you make infringes someone else's trademark, copyright or other rights, or misstates something in a document you send to a third party, that's your responsibility. We provide a design tool; we don't review, approve or verify what users make with it.

  • We don't store your designs. As described in the Privacy Policy, your work is processed in your browser and isn't uploaded to or saved on our servers. Once you download a file, it exists only on your device.

7. Acceptable use

You agree not to use the Service in ways that are illegal, harmful, or that misuse the tools. In particular — and this list is illustrative, not exhaustive — you will not use ToolBody to:

  • Forge government, notary, court or other official seals. These are regulated instruments, and producing fraudulent versions of them is a criminal offence in most jurisdictions. This is strictly prohibited.

  • Create fraudulent documents. Invoices intended to deceive, company seals representing a business you don't own or control, payslips misrepresenting employment or earnings, and signatures purporting to be someone else's are all prohibited.

  • Impersonate a real individual or business. Don't create stamps, signatures, invoices, quotations, payslips or QR codes that misrepresent who you are or who you act for.

  • Encode harmful or deceptive destinations in a QR code, including malware, phishing pages, or links designed to mislead the person scanning them.

  • Commit, plan or facilitate any other crime using outputs from the Service.

  • Break applicable law in any other way, including export controls, sanctions, intellectual property, privacy or consumer protection law.

  • Interfere with the Service's operation — for example through denial-of-service attacks, circumventing rate limits, automated scraping that places unreasonable load on our servers, or attempts to defeat security measures.

  • Probe, scan or test the vulnerability of the Service without our prior written permission. If you find a security issue, please report it responsibly using the contact details in Section 19.

  • Upload or transmit malicious code to or through the Service.

  • Misrepresent the Service — for example by claiming ToolBody is certified or endorsed by an organisation when it isn't, or by reselling access to our free tools as though they were a paid product of yours.

Breaching this section may result in your access being terminated, and in serious cases in a referral to law enforcement.

8. Intellectual property in the Service

The Service itself — the website, the tool interfaces, the original template designs we publish, our name, our brand and our documentation — belongs to ToolBody and is protected by intellectual property law.

You may use the Service for its intended purpose. You may not:

  • Copy or redistribute the website, its source code, or the tools themselves (as distinct from the outputs you create with them).

  • Use our name, brand or logo in a way that suggests endorsement or affiliation that doesn't exist.

  • Sell, license or sublicense the Service to others.

  • Remove, alter or obscure any copyright, trademark or other proprietary notice.

Outputs you create using the tools are yours, as set out in Section 6. The tools and templates that produce those outputs remain ours.

9. Templates and example designs

The template library exists to give you a starting point. Company names, registration numbers, addresses and other details shown in a template are illustrative sample content. They are not an endorsement of, affiliation with, or representation about any real organisation, and they should be replaced with your own details before you use a design.

If you believe a template, an example design or any other content on ToolBody reproduces your business's name, registration details, trademark, address or other identifying information without permission, please contact us using the details in Section 19. Tell us the page URL and what you'd like removed or changed. We review these reports promptly and will remove or amend content where the concern is well founded.

10. Third-party content, links and advertising

The Service may link to third-party websites, services or resources. We don't control them and aren't responsible for their content, terms or privacy practices. Use them at your own discretion.

Advertising on the Service may be delivered by third-party ad networks, including Google AdSense. The presence of an advertisement is not an endorsement by ToolBody of the advertiser, its products or its claims. How advertising interacts with cookies and your data is covered in the Privacy Policy and the Cookie Policy.

11. Disclaimers of warranty

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, TOOLBODY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM A COURSE OF DEALING OR USAGE OF TRADE.

We don't warrant that:

  • The Service will be uninterrupted, error-free or available at all times.

  • The output of any tool will meet your requirements, or be suitable or sufficient for any particular legal, commercial, tax, payroll or regulatory purpose.

  • Defects in the Service will be corrected.

  • The Service or the servers that host it are free of viruses or other harmful components.

Use of the Service is at your sole risk.

12. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL TOOLBODY, ITS OPERATORS, EMPLOYEES OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES — INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL OR OTHER INTANGIBLE LOSSES — ARISING FROM:

  • Your use of, or inability to use, the Service.

  • Any output you create with the Service, including how a stamp, invoice, quotation, payslip, signature or QR code is subsequently used.

  • Any third-party content accessed through the Service.

  • Unauthorised access to or alteration of your transmissions or data.

  • Any other matter relating to the Service.

This applies whether the claim is founded in warranty, contract, tort (including negligence) or any other legal theory, and whether or not we've been advised that such damage was possible.

To the maximum extent permitted by law, our total cumulative liability for any claim arising out of or relating to the Service or these Terms will not exceed the amount you have paid us in the twelve months before the claim — which, the Service being free, will ordinarily be zero.

Some jurisdictions don't allow the exclusion or limitation of certain warranties or damages. Where that's the case, the exclusions and limitations above apply only to the extent the law allows.

13. Indemnification

You agree to indemnify, defend and hold harmless ToolBody, its operators and its affiliates from and against any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of or connected with:

  • Your use of the Service.

  • The outputs you create with the Service and how they're used.

  • Your breach of these Terms.

  • Your infringement of any third party's rights.

  • Your breach of applicable law.

We may assume exclusive defence and control of any matter subject to indemnification by you, in which case you agree to cooperate with that defence.

14. Termination

We may suspend or terminate your access to all or part of the Service at any time, with or without notice, for any reason — including breach of these Terms.

You may stop using the Service at any time. Because there are no accounts, nothing needs to be cancelled.

Provisions that by their nature should survive termination — including ownership, disclaimers, limitation of liability, indemnification and dispute resolution — will survive.

15. Changes to the Service

We may modify, suspend or discontinue the Service or any part of it at any time, with or without notice, and we're not liable to you or any third party for doing so.

Where a change materially affects users — for example the removal of a tool — we'll try to give reasonable advance notice on the site.

16. Changes to these Terms

We may update these Terms from time to time. When we do, we'll change the "Last Updated" date at the top of this page.

For material changes we'll give more prominent notice, such as a banner on the site. Continuing to use the Service after a change takes effect means you accept the updated Terms. If you don't accept them, please stop using the Service.

17. Governing law and dispute resolution

These Terms, and any dispute arising out of or relating to them or to the Service, are governed by the laws of the United Arab Emirates, without regard to conflict-of-laws principles.

You agree that any legal action or proceeding arising under or relating to these Terms or the Service will be brought exclusively in the competent courts of the United Arab Emirates, and you submit to the jurisdiction of those courts.

If you're a consumer living in a jurisdiction whose local consumer-protection law gives you the right to bring proceedings in your home courts, or to the protection of mandatory provisions of that local law, this section does not remove those rights.

18. General provisions

  • Entire agreement. These Terms, together with the Privacy Policy, form the entire agreement between you and us about the Service, and supersede any earlier agreement on the same subject.

  • Severability. If any provision of these Terms is found unenforceable, the remaining provisions continue in full force.

  • No waiver. A failure to enforce any right or provision is not a waiver of that right or provision.

  • Assignment. You may not assign or transfer your rights under these Terms without our written consent. We may assign ours without restriction.

  • No agency. Nothing in these Terms creates an agency, partnership, joint venture or employment relationship.

  • Language. These Terms are written in English. If we publish a translation and the versions conflict, the English version governs.

  • Headings. Section headings are for convenience only and have no legal effect.
